Significant Representations and Transactions

Mr. Condzal has represented businesses, lenders, corporate officers, professionals, estates, and individuals in a broad range of sophisticated commercial disputes, injunction proceedings, shareholder matters, foreclosure litigation, and business tort actions in both state and federal courts.

Representative matters include the successful defense of a commercial mortgagee against fraud and tortious interference claims through trial and appeal before the Appellate Division, First Department; securing dismissal in the Southern District of New York of conversion claims involving European artwork based upon jurisdictional defects; and prevailing in an AAA arbitration on shareholder breach of contract claims against an international public company, resulting in an award of damages and attorneys’ fees.

Mr. Condzal has obtained preliminary injunctive relief on behalf of a public company arising from violations of non-compete and confidentiality agreements, and separately obtained injunctive relief on behalf of elderly residents and family members preventing the eviction and termination of services by a nursing home operator in New York County Supreme Court.

His litigation experience further includes obtaining summary judgment on behalf of businesses in breach of contract actions, including matters involving a printing company and a New York advertising agency; prosecuting commercial mortgage foreclosure actions to judgment and sale in multiple New York jurisdictions; and successfully defending a media and events company against trade secret and related claims through trial.

Mr. Condzal has also represented clients in complex federal litigation, including class action litigation involving consumer fraud claims against a major automotive manufacturer in the Southern District of New York, civil RICO defense matters, intellectual property disputes, cryptocurrency-related litigation, shareholder derivative actions, estate and turnover proceedings, and commercial conversion claims.

In addition, he has successfully represented clients in promissory note enforcement proceedings, foreclosure defense and mortgage restructuring matters in Connecticut, and numerous business disputes resolved through motion practice, negotiated settlement, arbitration, trial, and appeal.

In addition to his litigation practice, Mr. Condzal has substantial experience advising businesses and organizations in corporate, transactional, and operational matters across a range of industries, including advertising, publishing, telecommunications, technology, and trade associations.

Representative transactional matters include advising a New York advertising company in all aspects of its acquisition of a Florida advertising agency, including negotiations, due diligence, transaction documentation, stock purchase agreements, executive employment agreements, and ongoing corporate counsel; advising a trade industry association in connection with corporate restructuring and merger matters; and representing management in labor negotiations and related collective bargaining matters.

Mr. Condzal has also represented clients in commercial lease negotiations, licensing agreements, independent contractor arrangements, confidentiality and non-compete agreements, agency agreements, and a broad range of general corporate and business transactions.
